Offer for Providing Paid Functionality of the Service

This document, in accordance with the provisions of Article 437 of the Civil Code of the Russian Federation, constitutes an offer (hereinafter referred to as the "Offer") from "Indoors Navigation" LLC (hereinafter referred to as the "Administrator") to enter into an agreement for the provision of paid functionality of the Service, addressed to any individual using the Service (hereinafter referred to as the "User") under the terms set forth below.

Payment for the Tariff or Package constitutes the unconditional and irrevocable acceptance (approval) of the terms of the Offer by the User.

Terms and Definitions

The terms of the Offer are interpreted in the meaning defined in the User Agreement.

Tariff — the amount of compensation to the Administrator corresponding to a specific volume of the Service's features and the period of its provision to the User. The types of Tariffs are available in the Account.

Package — additional paid functionality of the Service not included in the Tariff. Allows the User to expand the capabilities of using the Service. The types of Packages are available in the Account.

Incident — any event that is not part of the normal functioning of the Service and is characterized by an interruption or deterioration in the quality of the Service's operation.

DocumentationUser Agreement and Privacy Policy

1. Subject

  • The Administrator grants the User a non-exclusive license to use the paid functionality of the Service, and the User agrees to pay the Administrator a fee.

2. Procedure and Limits of Using Paid Functionality of the Service

To connect to the paid functionality of the Service, the User must:

  • have a registered Account;
  • complete the authorization procedure on the Service;
  • pay for or activate the selected Tariff and/or Package.
  • The User has the right to use the paid functionality of the Service for the period and within the limits specified in the selected Tariff or Package, and only for its intended functional purpose.
  • Access to the paid functionality of the Service will be activated within 1 (one) calendar day from the payment date. After activation, access to the paid functionality in the Account is considered granted.
  • Information about the connected Tariff, paid Packages, and the remaining days of use is available in the Account on the "Tariffs and Services" page.

3. Conditions of Use

  • The rights to the paid functionality of the Service are limited to the "right to use," and no provision of the Offer implies the transfer of any exclusive rights to the Administrator's Service to the User.
  • The right to use the paid functionality of the Service is granted by the Administrator to the User for the duration of the payment of the Tariff or Package.
  • The User uses the Service in accordance with the Documentation and the current legislation of the Russian Federation.

4. Technical Support

  • The Administrator provides technical support to the User when using the Service. The scope and limits of support, response times for requests, and communication channels are determined by the Administrator unilaterally.
  • The Administrator ensures the operability remotely through its servers.
  • The time for resolving an Incident cannot exceed ten (10) working days.
  • The following cases are not considered Incidents:
  • Any scheduled downtime of the Service, for which the Administrator has notified the User at least 1 (one) calendar day in advance.
  • Periods of unavailability for the purpose of maintaining the Administrator's technical infrastructure.

5. Arrangement of Relations with Legal Entities and Individual Entrepreneurs

  • The Administrator provides access to the paid functionality of the Service to legal entities and individual entrepreneurs based on a separate agreement (hereinafter referred to as the "Agreement").
  • If the User requires the conclusion of an Agreement, they must send a notification with a description of the required functionality, the period of Service connection, and the organization's details to the Administrator's email.
  • The Administrator concludes the Agreement if the Tariff and Packages are connected for a total amount of at least 10,000 (ten thousand) rubles. Otherwise, the Administrator has the right to refuse to conclude the Agreement with the User, and the payment is made on behalf of a representative - an individual in accordance with the rules described in the Offer.
  • The Administrator notifies the User of its decision within three (3) working days.

6. Administrator's Compensation

  • The amount of the Administrator's compensation is determined based on the Tariff and/or Package selected by the User.
  • The Administrator has the right to set discounts on certain Tariffs and/or Packages at its discretion.
  • The cost of the paid functionality of the Service does not include possible commissions from payment providers.

7. Payment

  • Payment for Tariffs and Packages by Users is made using one of the methods specified in the Account:
    • Payment by bank cards on the online payment page provided by Alfa-Bank.
  • The reward is considered paid from the moment the corresponding amount of money is received from the User to the Administrator's bank account.
  • The User's payment obligations are considered unfulfilled if the Administrator has refunded the funds at the request of the payment organization. In this case, the Administrator has the right to deny the User access to the paid functionality of the Service from the moment of the refund.
  • If there is a delay in crediting funds to the Administrator's account for more than 3 (three) days, the User has the right to contact the Administrator with proof of payment and also resolve the issue with the payment organization independently.
  • The User agrees that when making payments to the Administrator, at the time of granting access to the paid functionality of the Service, a receipt will be sent to the User indicating full payment.

8. Changing the Tariff

  • The User has the right to change the Tariff independently:
    • increasing the functions. In this case, the User either pays the price difference between Tariffs or the duration of the new Tariff is reduced in terms of the number of days for use.
    • decreasing the functions. In this case, the difference is credited to the User in the form of an increase in the number of days of use of the new Tariff.
  • Tariffs and Packages, as well as their cost, may change at the Administrator's discretion, but the cost of an already paid Tariff or Package remains unchanged.
  • The Administrator notifies Users about changes to Tariffs and Packages by posting information on the Service.

9. Termination of Paid Functionality Usage

  • Termination of the User's use of the paid functionality of the Service, including due to a breach of the terms of the Offer, does not entitle the User to a refund of the amount paid for the Tariff and/or Packages.

10. Responsibility of the Parties

  • If the User breaches the terms of using the Service, the Administrator has the right to apply the penalties specified in the Documentation. In such a case, any funds paid under the Agreement are not refundable.
  • The Administrator may compensate the User for the untimely resolution of an Incident by proportionally increasing the period of use of the paid functionality of the Service.
  • If the Administrator faces claims, demands, and/or lawsuits for violating the rights of third parties, the User undertakes to resolve these issues and reimburse the Administrator for any damages incurred.

11. Limitation of Liability

  • The Service is provided on an "as is" basis.
  • The Administrator is not liable and does not compensate the User for losses caused by:
    • reasons specified in the Documentation;
    • errors in the operation of the payment system's hardware and software. If funds are not credited to the Administrator's account due to an error, the obligation to return the funds lies with the payment system provider.
    • disruptions in services provided by contractors and/or data processing and storage centers;
    • lack of Service connectivity to the Internet and/or to the Administrator's servers at the User's location.

The Administrator's liability cannot exceed the amount of compensation paid by the User for the period in which the violation occurred.

12. Dispute and Disagreement Resolution

  • All issues and disputes that may arise between the Parties will be resolved through negotiations in accordance with the legislation of the Russian Federation.
  • The Parties agree to follow the pre-trial (claim) procedure for dispute resolution. The deadline for responding to a claim is 10 (ten) working days from the date of receipt by the receiving party.
  • If the dispute cannot be resolved through negotiations or pre-trial procedures, it will be submitted to the court at the Administrator's location.

13. Final Provisions

  • Any issues not regulated by the Offer will be resolved in accordance with the Documentation and the legislation of the Russian Federation.
  • The Offer may be changed or supplemented by the Administrator at any time without notifying the User. The new version of the Offer takes effect 20 (twenty) calendar days after being posted on the Service.
  • The User is responsible for independently checking the Offer for any changes and/or additions.
  • Continued use of the Service after changes and/or additions to the Offer means the User's acceptance of those changes and/or additions.
  • If one or more provisions of the Offer are found invalid or legally unenforceable, this does not affect the validity or applicability of the other provisions of the Offer.
  • The Offer is written in Russian and may be provided to the User in English. In case of discrepancies between the Russian version and the translated version, the Russian version shall prevail.
